Terms of Use for Accessing the Ethisphere Platform

TERMS OF USE FOR ACCESSING THE ETHISPHERE PLATFORM 

Access to and use of the Ethisphere Platform and any related reports or other materials offered by Ethisphere, LLC (“Ethisphere”, “we”, or “us”) are subject to the following Terms of Use. By accessing and using the Ethisphere Platform, you and your company agree to be bound by these Terms of Use.  

Applicability of Terms of Use  

Your access to the Ethisphere Platform or specific services and deliverables provided through the Ethisphere Platform may be governed by a subscription agreement, master services agreement, statement of work, terms of use, or similar type of agreement between Ethisphere and your company (“Enterprise Level Agreements”).  

These Terms of Use do not replace the Enterprise Level Agreements. Rather, these Terms of Use are specific to access to the Ethisphere Platform and the use of the copyrighted and proprietary information found there.  

To the extent these Terms of Use contradict terms in any Enterprise Level Agreements, the terms of the Enterprise Level Agreements control. 

Accessing and Using the Ethisphere Platform 

Authorized Users  

Your company can provide access to the Ethisphere Platform to its employees, officers, and directors, including any temporary, contract, contingent, or part-time employees (together, “Authorized Users” and in the singular an “Authorized User”). Each Authorized User will have their own account with a username and password. Each account is for the unique use of a single user, unless expressly agreed with us.  

Non-Authorized Users  

You and your company agree not to allow any person or entity other than an Authorized User to access or use the Ethisphere Platform. If your company would like to have someone other than an Authorized User access the Ethisphere Platform, your company must obtain prior written permission from us. If we provide such permission, that person is an Authorized User from the date of our permission. We may require such a user to enter into a separate confidentiality and non-disclosure agreement with us. 

System Administrator  

Your company will designate an individual for managing Authorized Users and their access (“Administrator”). The Administrator will be responsible for adding new Authorized Users, sending password resets, deactivating users, and performing other system administration duties as needed by Ethisphere. If an Authorized User leaves employment or otherwise no longer qualifies as an Authorized User, the Administrator will deactivate them, terminating access. 

Confidentiality 

Confidential Information 

Ethisphere does not collect or process any confidential information about your company through the Ethisphere Platform unless such information is governed by an applicable Enterprise Level Agreement. To the extent the Ethisphere Platform collects or processes your company’s confidential information, our protection and use of such information is governed by the Enterprise Level Agreement, not these Terms of Use. For example, (i) information provided when using our ethical culture assessment services (i.e., information provided to or processed by us in providing ECA: Measure, ECA: Assess, and ECA: Report) is governed by a master services agreement, statement of work, and, if applicable, a data processing agreement and (ii) information provided in response to our Ethics Quotient questionnaire, including as part of the World’s Most Ethical Companies evaluation process, is governed by specific terms of use agreed to when completing the questionnaire. 

Your Personal Information 

We process your personal information pursuant to the terms of our Privacy Policy found at https://ethisphere.com/privacy-policy/

Description of Deliverables 

Depending upon your company’s level of access to Ethisphere services and deliverables, the Ethisphere Platform may provide you access to three general categories of deliverables (collectively, the “Deliverables”):  

  1. “Company Specific Deliverables” – materials created by Ethisphere specifically for your company such as (i) culture assessments and reporting through ECA: Assess, ECA: Measure, and ECA: Report/Measure and (ii) benchmark reporting of your ethics and compliance program through The Sphere; 
  1. “Ethisphere Contributed Content” – materials such as manuals, articles, templates, tools, pamphlets, software presentations, video recordings, example policies, turn-key communications resources through ECA: Communicate, and audio recordings prepared by Ethisphere for Business Ethics Leadership Alliance (“BELA”) member companies and the Ethisphere community generally. 
  1.  “Community Contributed Content” — materials BELA member companies share with others in the BELA community.  

Use of Ethisphere’s Proprietary Information 

By accessing the Ethisphere Platform, you and your company agree to follow the intellectual property ownership and use terms below. 

Ethisphere owns and retains all rights, title, and interest, including all intellectual property rights, in its pre-existing and independently developed intellectual property, including without limitation its logos, methodologies, models, questionnaires, benchmarking data, analysis, insights, recommendations, audiovisual works, video content, graphics, audio recordings, and know-how incorporated into the Company Specific Deliverables and Ethisphere Contributed Content or otherwise accessed through the Ethisphere Platform (collectively, “Ethisphere’s Proprietary Information”). For the avoidance of doubt, no ownership of Ethisphere’s Proprietary Information is transferred under these Terms of Use. Except for the limited rights expressly granted herein, all rights are reserved by Ethisphere. 

You and your company have a worldwide, fully paid, royalty free, non-sub-licensable, non-exclusive, non-assignable, non-transferable, perpetual license to use Ethisphere’s Proprietary Information solely for your Company’s internal business purposes. You and your Company are not allowed to copy or otherwise make Ethisphere’s Proprietary Information available to any third party, exploit, or otherwise use Ethisphere’s Proprietary Information in any other way without Ethisphere’s prior written consent. To the extent used in derivative materials, such materials must provide proper attribution that it contains Ethisphere’s Proprietary Information. 

The use of Ethisphere’s Proprietary Information in connection with any artificial intelligence or machine learning system, natural language processing, or other reinforced or similar learning platform, application, program, software, or system, including training, fine-tuning, embedding, summarization, transformation, or generation of derivative outputs, is expressly prohibited without Ethisphere’s prior written consent. 

To the extent Company Specific Deliverables or Ethisphere Community Content cite to or provide links to any materials created by or for another person or entity (for example, quoting regulatory guidance), we do not own the rights in such materials. We represent that we have the right to use and share such materials and will provide attributions to the authors or sources as needed. Your use of such materials is subject to copyright and any other applicable intellectual property rights laws. 

Unique Terms Applying to Use of ECA: Communicate 

Deliverables relating to ECA: Communicate have unique usage rights. You and your company may use the tools, templates, resources, and guidance included in ECA: Communicate (collectively, “Communications”) as follows: 

  • Toolkits. You may customize toolkits and share them in connection with communicating with employees in any manner utilized for internal communications;  
  • Tip of the Sphere Videos. You may download, create a shared link, or create an embed code for each video and integrate each video with, or embed it in, any Intranet, website, presentation, e-learning tool, or other medium utilized by your company in connection with communicating internally. You may not modify the videos in a manner that changes their meaning; any translations must be done using subtitles and not voice-overs. 
  • Ethitoons. You may use Ethisphere provided cartoons (“Ethitoons”) to communicate internally. You must use Ethitoons in their entirety, not manipulate or modify them in any way without Ethisphere’s written approval except as to technical matters (i.e., sizing, image resolution, caption font, caption size) and language translations, and include the unaltered signature of the artist. You may not create derivative works of the Ethitoons but, for clarification, may include the Ethitoons in any mediums or modalities to communicate internally. 
  • Culture-Focused ImagesYou may download the images and use them in any medium Company uses for internal communications. 

Use of Community Contributed Content 

As between the BELA member company sharing Community Contributed Content and your company, the BELA member company owns and will continue to own all rights, title, and interest in and to such Community Contributed Content. Your company must use the Community Contributed Content consistent with applicable intellectual property laws, including trademark and copyright protections. Your company must not use any Community Contributed Content to provide external consulting or training services and will not sell, transfer, or otherwise give or provide the Community Contributed Content to any third party.  

Warranty Disclaimer and Limitation of Liability 

You and your company acknowledge that the Deliverables and any other information accessed through the Ethisphere Platform are advisory in nature and may depend on information provided by your company or third parties. The Deliverables and any other information accessed through the Ethisphere Platform do not constitute legal advice. Ethisphere does not guarantee and explicitly disclaims that your company will achieve any particular business, financial, ethical, operational, cultural, risk mitigation, or compliance result from use of the Deliverables or any other information accessed through the Ethisphere Platform. Your company remains responsible for its own decisions, actions, and implementation of any recommendations based on the Deliverables or information provided through the Ethisphere Platform. Company acknowledges that the Deliverables and information provided through the Ethisphere Platform are intended to support, but not replace, your company’s independent business judgment and any legal, financial, accounting, or other professional advice your company may determine is appropriate. 

You and your company agree that under no circumstances will Ethisphere be liable for damages or claims arising out of your company’s decisions made or actions taken or not taken in reliance on the Deliverables or information provided through the Ethisphere Platform or for the effectiveness of the implementation of any actions. 

Ethisphere may terminate or suspend your access to the Ethisphere Platform for any violation of these User Terms at its sole discretion and without prior notice.
